1st Prize Winner

SECTION 1 – ELIGIBILITY AND PARTICIPATION

1.1 By executing this Waiver and Release (“Agreement”), I acknowledge and affirm that I am voluntarily participating in the 22Red Sin City Giveaway (the “Contest”).

1.2 I certify, represent, and warrant that:

– I am 21 years of age or older;

– I am a citizen of the United States of America;

– I have completed and submitted a valid IRS Form W-9 to Sponsor prior to receipt of the Prize;

– I meet all eligibility requirements as set forth in the official Contest rules; and

– My participation in the Contest does not violate any federal, state, or local laws or regulations.

SECTION 2 – PRIZE TERMS

2.1 The Prize consists of a two-night hotel stay, a $500 airfare credit, $500 in spending cash, and a 22Red branded gift bag* (collectively, the “Prize”).

2.2 The Prize is:

– Non-transferable;

– Non-refundable;

– Valued at $2700;

– Without cash value; and

– Not subject to substitution, except at the sole discretion of Sponsor.

2.3 The hotel stay must be booked and completed on or before February 28, 2026. Any portion of the Prize not used by this date will be automatically forfeited without compensation. Hotel stay is at the Wynn/Encore hotel, and must be booked through a representative of Department M, LLC.

2.4 All travel, lodging, and other Prize-related services are subject to the terms and conditions of the respective service providers.

2.5 Prize winner will receive a $500 airfare credit and will be responsible for booking their own travel arrangements. Any overage of flight/travel costs beyond the $500 credit is the sole responsibility of the prize winner.

SECTION 3 – ASSUMPTION OF RISK

3.1 I fully understand and acknowledge that acceptance, travel, and use of the Prize involve inherent risks, including but not limited to personal injury, illness, property damage, or other unforeseen events.

3.2 I voluntarily assume all risks associated with the Prize, including risks to myself and any guests accompanying me.

SECTION 4 – RELEASE, WAIVER, AND INDEMNIFICATION

4.1 In consideration of being awarded the Prize, I, on behalf of myself, my heirs, executors, administrators, legal representatives, and assigns, fully, irrevocably, and unconditionally release, waive, and discharge Department M, LLC dba 22Red, its affiliates, subsidiaries, officers, directors, employees, agents, representatives, and any other entities involved in the Contest (collectively, the “Released Parties”) from any and all claims, liabilities, demands, causes of action, losses, damages, or expenses of any kind, whether known or unknown, arising out of or in connection with:

(a) My participation in the Contest;

(b) My acceptance, possession, use, or misuse of the Prize; or

4.2 I further agree to indemnify and hold harmless the Released Parties from any claims, demands, actions, damages, or expenses (including reasonable attorneys’ fees) arising from or related to my participation in the Contest or use of the Prize.

4.3 This release and indemnification apply regardless of whether any injury, loss, or damage is caused in whole or in part by the negligence of the Released Parties.

SECTION 5 – RESPONSIBILITY FOR COSTS

5.1 I acknowledge and agree that I am solely responsible for all costs, expenses, and obligations not expressly included as part of the Prize, including but not limited to meals, ground transportation, gratuities, taxes, travel insurance, and incidental expenses during the hotel stay.

SECTION 6 – TAX OBLIGATIONS

6.1 I acknowledge that the Prize may constitute taxable income under federal, state, and local law.

6.2 I agree to provide a completed and accurate IRS Form W-9 to Sponsor prior to receiving the Prize.

6.3 I accept full responsibility for any tax liability arising from receipt of the Prize. Sponsor may issue an IRS Form 1099-MISC reflecting the fair market value of the Prize.

SECTION 7 – PUBLICITY

7.1 By accepting the Prize, I grant Sponsor the perpetual, worldwide, royalty-free, and irrevocable right to use my name, image, likeness, voice, and biographical information for advertising, marketing, and promotional purposes in any media, without further consent or compensation, except where prohibited by law.

SECTION 8 – GOVERNING LAW AND JURISDICTION

8.1 This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.

8.2 Any disputes, claims, or controversies arising out of or relating to this Agreement or the Contest shall be subject to the exclusive jurisdiction of the state and federal courts located in California, and I hereby consent to such jurisdiction and venue.

SECTION 9 – ACKNOWLEDGMENT AND EXECUTION

9.1 I acknowledge that I have read this Agreement carefully, understand its contents, and execute it voluntarily and with full knowledge of its significance.

9.2 I understand that by signing this Agreement, I am waiving substantial legal rights, including the right to sue the Released Parties, and I voluntarily accept all terms set forth herein.

* Gift bag contains cannabis product provided by The Kind Relief / 00000049DCRR00713151, D.B.A. Flow Partners, LLC, 22Red’s official Arizona distributor. A Flow Distribution representative will provide the dispensary location where contest winners will redeem their cannabis prize.

2nd Prize Winner

2.2 The Prize is:

– Not subject to substitution, except at the sole discretion of Sponsor.

2.3 Any portion of the Prize not claimed within 90 days of winner notification will be automatically forfeited without compensation.

2.4 All Prize-related services are subject to the terms and conditions of the respective service providers.
